These Terms of Service (“Terms”) govern your purchase and use of digital data products (“Products”) from MediumAxis LLC (“we,” “us,” or “our”). By placing an order, you (“Customer” or “you”) agree to be bound by these Terms.

1. Products & Delivery

• • Instant Download: Most of our digital contact lists and databases are available for instant digital download immediately after your payment is confirmed.
  • Custom Compilations: Special orders, or custom-compiled lists may take 1 to 3 business days for delivery, depending on the complexity and size of the request.

2. License, Acceptable Use & Resale

• • Grant of License: Upon purchase, MediumAxis LLC grants you a broad, non-exclusive license to use the purchased data. You may use, resell, or redistribute the data.
  • Acceptable Use Policy (AUP): Your use of the data must comply with our Acceptable Use Policy. You are strictly prohibited from:
    • Unlawful & Fraudulent Activities: Using the data for any illegal purpose, including fraud, phishing, scams, or the distribution of malware.
    • Harassment: Using the data to threaten, stalk, or intimidate individuals.
    • Spam: Sending unsolicited bulk communications that violate the core principles of anti-spam laws (e.g., failing to provide a clear opt-out mechanism, using deceptive headers or subject lines).
    • Privacy Violations: Processing data in a manner that violates the core principles of major privacy regulations like the GDPR, CPRA, or CPPA (e.g., processing without a lawful basis, ignoring data subject rights).
    • Network Abuse: Using the data to engage in activities that disrupt servers or networks (e.g., denial-of-service attacks).

3. Artificial Intelligence and Machine Learning Usage

• Conditions for Resale/Redistribution: If you resell or redistribute the data, you must:

  • Bind your downstream customers to an Acceptable Use Policy that is at least as restrictive as this one.

  • Ensure your customers do not remove any copyright or source identifiers from the data.

  • Inform your customer that the data is sourced from MediumAxis LLC and provide them with a link to these Terms.

  • Act as the primary point of contact for any data subject requests from your downstream customers. You must immediately forward any such request related to our data to us at [email protected].

• Your Responsibility: You are solely and fully responsible for your own use and for the compliance of any downstream customers. We are not liable for any misuse of the data by you or your customers.

4. Data Processing Agreement (DPA)
For the purposes of regulations like the GDPR, when you use our data for your business purposes, you typically act as the Data Controller, and we act as the Data Processor. This section outlines our commitments as your processor:

• • Confidentiality: We will ensure that all personnel authorized to process the data are bound by confidentiality obligations.
  • Security: We will implement appropriate technical and organizational measures to secure the personal data we provide.
  • Sub-processors: We engage trusted sub-processors (e.g., for cloud storage and infrastructure) to help provide our services. A list of sub-processors is available upon request.
  • Assistance: We will provide reasonable assistance to help you, the Controller, respond to requests from data subjects seeking to exercise their rights.
  • Deletion: Upon your written request or at the termination of our service agreement, we will delete or return all personal data to you.

5. Data Accuracy & Guarantee

• • List Counts: The contact counts specified in our product descriptions are accurate at the time of compilation.
  • Data Nature: The data is sourced from public professional networks and third-party providers. A bounce rate of 15-20% is considered acceptable and normal for business email data due to constant market changes.
  • Deliverability Guarantee: If you experience an email bounce rate exceeding 20% on a newly purchased list, we will replace or update the list. To qualify, you must provide a log file of delivery errors for our verification within 14 days of purchase.
  • For additional assurance, every list purchased from MediumAxis includes extra free email validation.

6. Payment Methods

• Your Compliance: It is your responsibility to use the data in a lawful manner. You must honor opt-out requests and data subject rights (e.g., Right to Erasure) that are communicated to you.

9. Disclaimer of Liability
To the fullest extent permitted by law, MediumAxis LLC provides the data “as is” and disclaims all warranties, express or implied. In no event shall our liability exceed the total cost of the product purchased. We shall not be liable for any lost profits or any indirect, special, incidental, or consequential damages arising out of the use of our data products.

These Terms shall be governed by and construed in accordance with the laws of Thailand, where MediumAxis LLC is registered.
