📋 Legal Status: These AI/ML License Terms supplement and form an integral part of the MediumAxis Terms of Service. Capitalized terms not defined herein have the meanings given in the Terms of Service. By purchasing data with intent to use for AI/ML purposes, you agree to be bound by both documents. In the event of any conflict, the more restrictive provision shall apply.

1. Overview & Purpose

MediumAxis offers tiered licensing for customers who wish to use our B2B contact data in artificial intelligence (AI) and machine learning (ML) applications. These terms clarify what is permitted, what is prohibited, and how to upgrade your license for AI/ML use cases.

This modular approach allows us to:

• Protect the intellectual property value of our curated datasets
• Ensure compliance with data protection regulations (GDPR, CCPA/CPRA, PIPEDA)
• Provide clear upgrade paths for customers with advanced use cases
• Maintain audit trails for accountability and legal enforceability

⚠️ Critical: Using MediumAxis data for AI/ML purposes without an AI/ML License constitutes a material breach of our Terms of Service and may result in immediate license termination, account suspension, and legal action.

2. License Tiers Comparison

All MediumAxis datasets are sold under the Standard License by default. AI/ML usage requires an explicit upgrade to the AI/ML License tier.

3. AI/ML License: Specific Terms & Restrictions

If you purchase an AI/ML License, the following terms apply in addition to the Standard License:

3.1 Permitted Uses

• Train, fine-tune, or develop machine learning models for internal business use only
• Use data as features or inputs for automated decision-making systems within your organization
• Generate derived insights, predictions, or classifications that do not replicate or redistribute the original dataset
• Integrate data into AI-powered CRM, sales automation, or marketing tools used internally
• Conduct research and development on AI/ML systems where outputs are not publicly distributed

3.2 Explicitly Prohibited Uses

Even with an AI/ML License, you shall NOT:

• 🚫 Release trained models to the public, including open-source repositories (e.g., GitHub, Hugging Face)
• 🚫 Distribute model weights, parameters, or APIs that enable third parties to access or reconstruct MediumAxis data
• 🚫 Create derivative data products that compete with or substitute for MediumAxis offerings
• 🚫 Use data to train models for commercial resale, licensing, or SaaS distribution
• 🚫 Facilitate model distillation, synthetic data generation, or data augmentation that replicates original dataset characteristics
• 🚫 Bypass data purchasing requirements by using AI to generate duplicates or near-duplicates of our datasets
• 🚫 Process data in jurisdictions that do not provide adequate data protection safeguards (as determined by EU Commission adequacy decisions)

3.3 Data Anonymization & Minimization

When using MediumAxis data for AI/ML purposes, you agree to:

• Implement data minimization practices (use only fields necessary for your specific use case)
• Apply pseudonymization or anonymization techniques where feasible before training
• Maintain separation between training data and model outputs to prevent reconstruction attacks
• Document data lineage and processing purposes as part of your GDPR Article 30 records
• Conduct Data Protection Impact Assessments (DPIAs) for high-risk AI/ML processing activities

💡 Best Practice: Consider using differential privacy, federated learning, or secure multi-party computation techniques to further protect personal data during AI/ML training.

4. Audit Rights & Compliance Verification

AI/ML License holders are subject to enhanced audit and compliance verification requirements:

4.1 Audit Triggers

MediumAxis may request an audit if:

• We receive a credible report of potential license violation
• Your model outputs appear to replicate or reconstruct MediumAxis data
• You publicly release a model that may have been trained on our data
• Random compliance verification (no more than once per 12-month period)
• A data subject complaint references MediumAxis-sourced data in your AI/ML systems

4.2 Audit Process

1. Notice: MediumAxis will provide 14 days’ written notice before initiating an audit
2. Scope: Audit is limited to verifying AI/ML License compliance (not general business operations)
3. Method: May include documentation review, technical interviews, or independent third-party assessment
4. Confidentiality: MediumAxis will execute an NDA to protect your proprietary model information
5. Cost: MediumAxis bears audit costs unless a material breach is found (then Customer pays)
6. Timeline: Audit must be completed within 60 days of notice unless extended by mutual agreement

4.3 Breach Consequences

If an audit reveals a material breach of these AI/ML License Terms:

• Immediate termination of all MediumAxis licenses (Standard + AI/ML)
• Forfeiture of all fees paid (no refunds)
• Liquidated damages equal to 3x the license fee OR actual damages (whichever is greater)
• Injunctive relief to prevent further unauthorized use
• Legal fees and costs incurred by MediumAxis in enforcing these Terms

⚖️ Legal Note: Liquidated damages are agreed upon as a reasonable estimate of harm, not as a penalty, given the difficulty of calculating actual damages from AI/ML data misuse.

5. How to Upgrade to AI/ML License

To upgrade from a Standard License to an AI/ML License:

1. Contact Sales: Email [email protected] with your intended use case
2. Use Case Disclosure: Provide details about:
   • Type of model (e.g., classification, NLP, recommendation engine)
   • Whether outputs will be internal or external-facing
   • Expected data volume and fields required
   • Geographic scope of deployment
3. Quote & Agreement: We’ll provide a custom quote and AI/ML License addendum within 3–5 business days
4. Payment: Pay the license premium (one-time or recurring, as specified in your quote)
5. Activation: Upon payment confirmation, your AI/ML License is activated and documented in your order confirmation
