These Terms of Service (“Terms”) govern your purchase and use of digital data products (“Products”) from MediumAxis LLC. (“we,” “us,” or “our”). By placing an order, downloading data, or using our services, you (“Customer” or “you”) agree to be bound by these Terms and our Privacy Policy and Data Processing Agreement.

1. Products & Delivery

• ⚡ Instant Download: Most digital contact lists and databases are available for immediate download after payment confirmation.
• 🔧 Custom Compilations: Special orders or custom-compiled lists may take 1–3 business days for delivery, depending on complexity and scope. Delivery timelines will be confirmed in your order confirmation.

2. License, Acceptable Use & Resale

2.1 Grant of License

Upon full payment, MediumAxis grants you a non-exclusive, non-transferable (except as permitted in Section 2.3), revocable license to use the purchased data for lawful business purposes, including sales, marketing, partnership development, and business intelligence.

2.2 Acceptable Use Policy (AUP) – Strictly Prohibited

You shall not use MediumAxis data for:

• ⚖️ Unlawful or fraudulent activities, including phishing, scams, identity theft, or malware distribution
• 😤 Harassment, stalking, threats, or intimidation of individuals
• 📧 Spam or unsolicited bulk communications that violate anti-spam laws (e.g., CAN-SPAM, GDPR ePrivacy)
• 🔐 Processing data without a lawful basis or ignoring data subject rights under GDPR, CCPA/CPRA, PIPEDA, or other applicable laws
• 💥 Network abuse, including denial-of-service attacks, scraping our platform, or attempting to bypass access controls
• 🤖 Unauthorized AI/ML training (see Section 3)

2.3 Resale & Redistribution Conditions

If you resell, sublicense, or redistribute MediumAxis data, you must:

• Bind downstream recipients to an Acceptable Use Policy at least as restrictive as this one
• Ensure downstream users do not remove copyright notices, source attributions, or watermarks
• Inform downstream users that data originates from MediumAxis and provide a link to these Terms
• Act as the primary contact for data subject requests; forward any requests specifically about MediumAxis-sourced data to [email protected]

⚠️ Your Responsibility: You are solely responsible for your use of the data and for ensuring compliance by any downstream recipients. MediumAxis is not liable for misuse by you or your customers.

3. Artificial Intelligence & Machine Learning Usage

All datasets are offered under tiered licensing. Unless explicitly stated in your order confirmation, you are purchasing a Standard License only.

❌ Explicitly Prohibited Under All Licenses:

• Train models for public release, API distribution, or open-source publication
• Create derivative data products that compete with MediumAxis offerings
• Facilitate model distillation or synthetic data generation replicating original dataset characteristics
• Bypass data purchasing requirements through AI-generated duplicates or “scraping” of our delivered outputs

📋 Full AI/ML Terms: All AI/ML usage rights, restrictions, compliance obligations, and audit terms are governed by our dedicated AI License Terms. By purchasing data with intent to use for AI/ML purposes, you agree to be bound by those terms in addition to these Terms of Service. In the event of any conflict, the more restrictive provision shall apply.

⚠️ By purchasing data from MediumAxis, you acknowledge that unauthorized AI/ML use constitutes a material breach of these Terms and may result in immediate license termination, account suspension, and legal action.

4. Data Sourcing Representation

MediumAxis compiles B2B contact data through a multi-layered, compliance-focused approach:

• Publicly Available Sources: Company websites, press releases, SEC filings, business registries, public professional profiles, and job postings
• Licensed Third-Party Data: Specialized B2B data vendors, intent signal providers, and technographic licensors under contractual compliance obligations
• Manual Research & Verification: In-house research teams verify hard-to-find contacts and executive-level details using confidence scoring
• Customer Feedback Loops: Usage data, bounce reports, and correction requests help us maintain data freshness and accuracy

We do not:

• Scrape private personal data from non-public sources without authorization
• Collect sensitive personal data (GDPR Article 9) as part of our standard B2B products
• Sell data we know to be unlawfully obtained

5. Customer Compliance Obligations

As the Data Controller for any personal data you process using MediumAxis Products, you agree to:

5.1 Honor Data Subject Rights

• Respond to Data Subject Access Requests (DSARs), deletion requests, and opt-out notices within legally required timelines
• Maintain a process to verify the identity of requestors before fulfilling data rights requests
• Forward any DSARs specifically about MediumAxis-sourced data to [email protected] for assistance

5.2 Adhere to Opt-Out Mechanisms

• Honor Do Not Call (DNC) registries, email unsubscribe requests, and platform-specific opt-outs
• Maintain suppression lists to prevent re-contacting individuals who have opted out
• Provide clear, easy opt-out mechanisms in all communications sent using MediumAxis data

5.3 Maintain Audit Records

• Keep records of how and why you process personal data obtained from MediumAxis
• Document your lawful basis for processing (e.g., legitimate interest, consent) as required under GDPR Article 30
• Retain logs of data usage, sharing, and deletion for at least 2 years to demonstrate compliance
• Make these records available to MediumAxis upon reasonable request for compliance verification

⚠️ Failure to comply with these obligations may result in immediate termination of your license, forfeiture of fees paid, and indemnification obligations under Section 9.

6. Data Subject Notice Obligations

When you use MediumAxis data to contact individuals, you are responsible for providing appropriate transparency notices. At a minimum, you should:

• Identify yourself and your organization in all communications
• Explain the purpose of contacting the individual (e.g., “We are reaching out regarding [business purpose]”)
• Provide a clear method for the individual to opt out of future communications
• If required by law (e.g., GDPR Article 14), inform individuals of the source of their data within a reasonable timeframe
• Maintain records of notices provided as part of your compliance documentation

💡 Best Practice: Include a brief privacy notice in your initial outreach: “We obtained your business contact information from MediumAxis, a B2B data provider. To opt out of future communications, reply with ‘UNSUBSCRIBE’ or contact us at [your privacy email].”

7. Data Accuracy, Guarantee & Replacement Policy

7.1 Data Nature & Expected Bounce Rates

Business contact data is dynamic. Email addresses change, roles evolve, and companies restructure. A bounce rate of 15–20% is normal and expected for business email datasets due to these market realities.

7.2 Deliverability Guarantee

If you experience an email bounce rate exceeding 25% on a newly purchased list, we will replace or update the affected records. To qualify:

• Submit a request within 14 calendar days of purchase
• Provide a log file or report showing bounce codes/reasons (not just “undeliverable”)
• Confirm you used a reputable email service provider with proper authentication (SPF/DKIM/DMARC)
• Allow us 5–10 business days to verify and process your replacement request

7.3 All Sales Final – Limited Replacement Only

Except as expressly provided in Section 7.2:

• ❌ No refunds for “data is bad,” “didn’t like the results,” or “changed my mind” claims
• ❌ No replacements for data you simply haven’t used yet or decided not to use
• ❌ No partial refunds for subsets of a purchased dataset
• ✅ Replacement is limited to documented invalid records (bounce rate >20% with evidence or other evidence)
• ✅ Enterprise customers may negotiate custom SLAs in a written agreement signed by both parties

💡 Pro Tip: Validate email addresses before large-scale campaigns using our included validation credits or a third-party verifier. This reduces bounce risk and maximizes ROI.

8. Payment, Taxes & Cryptocurrency

8.1 Accepted Payment Methods

• 💳 Credit/Debit Card (via secure payment partners)
• 🏦 Wire Bank Transfer (details provided upon order)
• 🪙 Cryptocurrencies: BTC, ETH, USDT (ERC20/TRC20), TRX, XMR, LTC, XRP

8.2 Taxes & Duties

Prices are quoted in USD and exclude applicable taxes, VAT, GST, or customs duties. You are responsible for determining and paying any taxes associated with your purchase under applicable law.

8.3 Cryptocurrency Payments

Crypto payments are final and non-refundable once the transaction is confirmed on the blockchain. Exchange rate fluctuations between order placement and payment confirmation are the Customer’s responsibility.

9. Limitation of Liability & Indemnity

9.1 “As Is” Disclaimer

MEDIUMAXIS PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Liability Cap

IN NO EVENT SHALL MEDIUMAXIS’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF OUR PRODUCTS EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Exclusion of Consequential Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.4 Customer Indemnity

You agree to defend, indemnify, and hold harmless MediumAxis, its affiliates, and personnel from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your misuse of MediumAxis data or breach of these Terms
• Your failure to comply with applicable data protection laws (GDPR, CCPA, etc.)
• Claims by data subjects related to your processing of MediumAxis-sourced data
• Claims by downstream recipients of data you redistributed

⚖️ Key Protection: This indemnity does not apply to claims arising solely from MediumAxis’s gross negligence or willful misconduct, as determined by a court of competent jurisdiction.

10. Data Processing Agreement (DPA) Integration

When you use MediumAxis platform services to upload, manage, or enrich your own contact data (as opposed to purchasing our proprietary datasets), we act as your Data Processor under applicable data protection laws.

All such processing is governed by our Data Processing Agreement, which includes:

• Security measures and technical/organizational safeguards
• Subprocessor authorizations and notification process
• International transfer safeguards (EU SCCs, UK Addendum)
• Data subject rights assistance and breach notification procedures

11. Samples & Evaluation

Samples are available for most Products to help you evaluate data quality before purchase.

• Small samples: Available for instant download on every product page (no contact required)
• Larger/custom samples: Request via the “Request Sample” button or our contact form; allow 1–2 business days for fulfillment
• Samples are provided for evaluation only and may not be used for commercial purposes, resale, or redistribution
• Sample data may be limited in scope or redacted to protect privacy and prevent misuse

12. Term, Termination & Survival

These Terms remain in effect while you use MediumAxis Products. We may terminate your license immediately if you breach these Terms. Upon termination:

• You must cease all use of MediumAxis data and delete all copies in your possession
• Sections 2 (License), 5–6 (Compliance), 7 (Accuracy), 9 (Liability), 11 (Governing Law), and 12 (Survival) shall survive termination
• Any fees paid are non-refundable except as expressly provided in Section 7.2

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Thailand, where MediumAxis LLC. is registered, without regard to conflict of law principles.

Any dispute arising from these Terms shall first be submitted to good-faith mediation. If unresolved within 30 days, the dispute may be brought in the courts of Bangkok, Thailand. You consent to personal jurisdiction and venue in such courts.

🌍 EU/UK Customers: Nothing in this section limits your right to bring claims in your local courts under mandatory consumer protection laws or to lodge complaints with your local data protection authority.

14. Changes to These Terms

We may update these Terms periodically to reflect changes in our services, legal requirements, or business practices.

• Material Changes: We will notify active customers via email or prominent notice on our Site at least 14 days before effectiveness
• Continued Use: Using MediumAxis Products after changes constitutes acceptance of the updated Terms
• Archive: Previous versions are available upon request at [email protected]
